If you do not agree to these terms, you must not use our website or engage our services. LogyCodes reserves the right to update these terms at any time. Continued use of our services after changes are published constitutes acceptance of the revised terms.
LogyCodes provides custom software development services including, but not limited to: Web Development, Mobile Application Development, UI/UX Design, Fintech Solutions, HealthTech Applications, Blockchain & Web3 Development, and Cloud Solutions.
All services are delivered based on the scope agreed upon in a written proposal, contract, or statement of work shared prior to project commencement. Any work beyond the agreed scope will be treated as a change request and may attract additional fees.
Every project begins with a discovery conversation to understand your goals, timeline, and budget. Following this, LogyCodes will prepare a written proposal outlining deliverables, timelines, and pricing.
A project is considered officially engaged once the client has reviewed and accepted the proposal and paid the required deposit. No development work begins before both conditions are met.
Proposals are valid for 14 days from the date of issue unless otherwise stated. LogyCodes reserves the right to revise pricing or timelines if a proposal is accepted after expiry.
Payment schedules are outlined in each individual project proposal. Typically, projects require a deposit (usually 50%) before work begins, with the balance due upon project completion and before final handover or deployment.
All invoices are due by the date specified. Delayed payments may result in a pause of work until the outstanding balance is settled. LogyCodes reserves the right to apply a late payment fee of 5% per month on overdue balances.
Prices may be quoted in Ghana Cedis (GH₵), US Dollars (USD), British Pounds (GBP), or another agreed currency. The client is responsible for any bank transfer or transaction fees. Refunds are only applicable as outlined in a signed contract.
Upon receipt of full and final payment, all intellectual property rights for custom-built deliverables — including source code, designs, and assets created specifically for the client — are transferred to the client.
Until full payment is received, all work product remains the exclusive intellectual property of LogyCodes. LogyCodes retains the right to display completed work in its portfolio and marketing materials unless the client explicitly requests otherwise in writing.
Third-party libraries, frameworks, or tools used in delivery are subject to their own respective licences. LogyCodes is not responsible for any licencing obligations arising from third-party software included in deliverables.
LogyCodes treats all client information, business data, and project details as confidential. We do not share, sell, or disclose client information to third parties without explicit written consent, except where required by law.
Where a mutual Non-Disclosure Agreement (NDA) is requested by either party, LogyCodes is willing to sign one prior to project discussions. Our team is bound by internal confidentiality policies regardless of whether a formal NDA is in place.
The client is responsible for providing accurate, complete, and timely information, materials, and feedback required to complete the project. Delays caused by the client — including late feedback, unavailability, or failure to supply required assets — may extend the project timeline and are not the responsibility of LogyCodes.
The client is responsible for ensuring that any content, images, trademarks, or materials they provide do not infringe on the intellectual property rights of any third party. LogyCodes accepts no liability for claims arising from client-supplied materials.
Each project proposal specifies the number of revision rounds included. Revisions are defined as refinements to agreed deliverables — not changes to the original project scope.
Changes to scope (new features, additional pages, redesigned sections not in the original brief) will be scoped and quoted separately. LogyCodes will not begin scope-change work without written approval and, where applicable, an additional deposit.
LogyCodes commits to the delivery timelines agreed upon in each project proposal. Timelines begin from the date the deposit is received and all required client materials have been provided.
LogyCodes will notify the client promptly of any circumstances that may affect the agreed timeline. Delays caused by factors outside our control — including client unavailability, force majeure, or third-party service outages — will not be counted against our delivery commitment.
LogyCodes will not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of our services or deliverables, including but not limited to loss of revenue, loss of data, or business interruption.
Our total liability in any matter arising from a project will not exceed the total fees paid by the client for that specific project.
LogyCodes provides a 30-day post-launch warranty period on all delivered projects. During this period, we will fix any bugs or defects in the delivered work at no additional cost, provided the issue is not caused by client modifications, third-party changes, or external factors.
Beyond the warranty period, ongoing support and maintenance are available under a separate support agreement. LogyCodes is committed to long-term partnerships and offers dedicated lifetime support packages to clients.
Either party may terminate a project engagement with 14 days' written notice. In the event of termination, the client is liable for all work completed up to the termination date, calculated on a pro-rata basis against the agreed project fee.
The deposit paid is non-refundable unless LogyCodes is unable to commence or continue the project for reasons within our control. Any work completed and paid for will be delivered to the client upon settlement of any outstanding balance.
These Terms of Service are governed by and construed in accordance with the laws of the Republic of Ghana. Any disputes arising from these terms or from any project engagement shall first be sought to be resolved through good-faith negotiation between both parties.
If negotiation fails, disputes shall be referred to mediation before any formal legal proceedings are initiated. Both parties agree to make a reasonable effort to resolve disputes amicably.
